These Terms of Service (“Terms”) govern your access to and use of the BG Film Lab website, your submission of film for processing, and your purchase of film, cameras, accessories, and other products from BG Film Lab LLC (“BG Film Lab,” “we,” “us,” or “our”).
By accessing our website, placing an order, purchasing a product, submitting film, or otherwise using our services, you agree to these Terms and to our Refund, Return, and Service Policy and any other policies referenced or displayed at checkout.
If you do not agree to these Terms, do not place an order, submit film, or use our services.
Nothing in these Terms limits any right or remedy that cannot legally be waived or limited.
1. Eligibility and Customer Information
You represent that you are legally capable of entering into a binding agreement or that you are using our services with the permission and supervision of a parent or legal guardian.
You agree to provide complete, accurate, and current information when placing an order, including your name, email address, billing information, shipping address, and any information needed to process or fulfill your order.
You are responsible for reviewing all order information before submitting payment.
BG Film Lab is not responsible for delays, losses, additional charges, or delivery failures resulting from incomplete or inaccurate information supplied by the customer.
2. Services and Products
BG Film Lab provides film-processing, scanning, and related photographic services. Available formats, processing types, scanning options, turnaround estimates, negative-return options, and prices are described on our website.
BG Film Lab may also sell products, including:
- Photographic film;
- Disposable and reusable cameras;
- Camera accessories;
- Film-processing accessories;
- Packaging or mailing materials;
- Gift cards;
- Promotional items; and
- Other photography-related products.
Products and services may be added, modified, suspended, or discontinued at any time, subject to orders already accepted and applicable law.
3. Product and Service Information
We make reasonable efforts to ensure that product descriptions, photographs, prices, specifications, stock information, processing options, and other website content are accurate.
However:
- Product packaging may differ from representative photographs;
- Manufacturers may change packaging or specifications without notice;
- Colors may appear differently depending on the customer’s screen;
- Film expiration dates and production batches may vary unless specifically stated;
- Product measurements and descriptions may be approximate;
- Minor typographical or technical errors may occur; and
- Website inventory may not always reflect real-time availability.
A product’s inclusion on our website does not guarantee that it is available.
We reserve the right to correct errors, update information, or cancel an affected order when product, pricing, inventory, tax, shipping, or promotional information is materially incorrect. If we cancel an unshipped paid order, we will refund the affected amount to the original payment method.
4. Order Submission and Acceptance
Submitting an order and receiving an automated order-confirmation message means that we have received your order. It does not necessarily mean that we have accepted or agreed to fulfill it.
An order for merchandise is considered accepted when we begin fulfillment or ship the order.
An order for film processing is considered accepted when:
- We receive the submitted film;
- The film is matched to an identifiable paid order;
- We determine that we can reasonably provide the requested service; and
- The order is entered into our processing workflow.
We may reject, limit, hold, or cancel an order for reasons including:
- Product unavailability;
- Pricing or inventory errors;
- Unsupported film formats or processes;
- Film condition that prevents safe processing;
- Incomplete or inaccurate order information;
- Payment failure;
- Suspected fraud or unauthorized payment activity;
- Unreasonable quantities;
- Resale activity that violates these Terms;
- Shipping restrictions;
- Misuse of discounts, credits, or promotions;
- Abusive or threatening conduct; or
- Other circumstances that reasonably prevent lawful and safe fulfillment.
Any refusal or cancellation will remain subject to applicable law and will not be based on a legally protected characteristic.
5. Payment and Authorization
All orders must be paid in full using an accepted payment method unless BG Film Lab expressly agrees otherwise in writing.
By submitting payment information, you represent that:
- You are authorized to use the selected payment method;
- The billing information is accurate;
- The transaction is not fraudulent; and
- We and our payment processors may charge the total amount shown at checkout.
The amount charged may include product or service prices, shipping, taxes, and other clearly disclosed charges.
We generally will not begin film processing or ship merchandise until payment has been successfully authorized or received.
If a payment is reversed, declined, disputed, or determined to be unauthorized, we may suspend fulfillment, withhold undelivered scans or merchandise, cancel the order, or pursue other remedies permitted by law.
6. Prices, Taxes, and Pricing Errors
Prices are displayed in U.S. dollars unless otherwise stated.
Prices may change without notice, but a price change will not ordinarily affect an order already accepted.
Customers are responsible for applicable sales, use, excise, or similar taxes charged at checkout. Customers may also be responsible for taxes or obligations not collected by us when required by their jurisdiction.
If a product or service is listed at an obviously or materially incorrect price because of a typographical, technical, promotional, supplier, or system error, we may cancel the affected order before fulfillment. If payment has already been collected, the affected amount will be refunded to the original payment method.
We are not required to honor a price that a reasonable customer would recognize as an obvious error, except where applicable law requires otherwise.
7. Inventory and Purchase Limits
Merchandise is offered subject to availability.
Inventory may become unavailable after an order is submitted because of simultaneous purchases, inventory discrepancies, damaged stock, supplier errors, or other circumstances.
We may limit the quantity of a particular product purchased by one person, household, business, account, payment method, or shipping address.
Unless we expressly authorize wholesale purchasing, products are offered primarily for personal use or ordinary business use rather than unauthorized resale.
If an item is unavailable, we may:
- Cancel and refund the unavailable item;
- Contact the customer about an alternative;
- Partially fulfill the order; or
- Delay fulfillment with the customer’s consent.
We will not substitute a materially different product without the customer’s approval.
8. Film, Camera, and Accessory Compatibility
Customers are responsible for confirming that a product is suitable for their intended use before purchasing it.
This includes reviewing, as applicable:
- Film format;
- Film speed or ISO;
- Exposure count;
- Required development process;
- Camera compatibility;
- Lens or accessory mount;
- Battery requirements;
- Flash capability;
- Product dimensions;
- Expiration or condition disclosures; and
- Any limitations stated in the product listing.
A product is not considered defective merely because it is incompatible with a customer’s camera, equipment, workflow, intended use, or preferred photographic style when its specifications were accurately disclosed.
Customers should contact BG Film Lab before ordering if they are uncertain about compatibility.
9. Photographic Film Characteristics and Storage
Photographic film is a light-sensitive, heat-sensitive, and time-sensitive physical product.
Film results may be affected by:
- Manufacturing variation;
- Age or expiration;
- Heat;
- Humidity;
- Freezing or condensation;
- Radiation or security scanners;
- Shipping and storage conditions;
- Camera operation;
- Exposure;
- Loading and advancement;
- Development method; and
- Customer handling.
Unless expressly stated otherwise in a product listing, BG Film Lab does not guarantee a particular artistic result, color rendition, grain structure, exposure outcome, or image quality from film sold through our store.
Customers are responsible for storing film appropriately after delivery and following the manufacturer’s recommendations.
Film that has been opened, loaded, exposed, improperly stored, subjected to damaging conditions, or otherwise handled after delivery may not be eligible for a remedy except where required by law.
10. Used, Vintage, Expired, Untested, and Special-Condition Products
Some products may be offered as:
- Used;
- Vintage;
- Expired;
- Open-box;
- Untested;
- Refurbished;
- Cosmetically imperfect; or
- Sold in another specially disclosed condition.
These products are sold subject to the condition, limitations, and risks stated in their individual listings.
Customers acknowledge that used, vintage, expired, or untested products may show wear, perform differently from new products, produce unpredictable results, or have a shorter useful life.
A condition or limitation clearly disclosed before purchase is not grounds for a claim that the item was misrepresented. This does not apply when the product is materially different from its description or when applicable law provides otherwise.
11. Film-Processing Turnaround
Any processing turnaround displayed on our website is measured from the date the film is physically received, matched to a paid order, inspected, and logged into our processing system.
Unless expressly identified as a guaranteed service, turnaround times are good-faith estimates rather than guaranteed completion dates.
Turnaround does not include:
- Shipping time to or from BG Film Lab;
- Weekends;
- U.S. federal holidays;
- Carrier delays;
- Time awaiting customer instructions, information, or payment;
- Unsupported, damaged, contaminated, unusual, or unidentified film;
- High-volume periods;
- Equipment failure;
- Utility or internet outages;
- Supplier interruptions;
- Severe weather;
- Natural disasters; or
- Other circumstances reasonably outside our control.
When we expressly advertise a guaranteed processing timeframe, the guarantee applies only to eligible orders and may be subject to any exclusions or remedy stated with that offer.
We will make reasonable efforts to communicate material delays.
12. Film Submission and Customer Responsibilities
Customers are responsible for:
- Correctly identifying their film when requested;
- Securely packaging film for shipment;
- Providing the correct processing order;
- Selecting the correct film format and process;
- Disclosing known contamination, damage, unusual chemistry, experimental film, remjet, or prior processing;
- Removing film from equipment when required;
- Providing accurate contact and return-shipping information; and
- Following submission instructions.
We may decline to process film that appears unsafe, contaminated, chemically unstable, improperly identified, incompatible with our equipment, previously processed, or likely to damage other customers’ film or our equipment.
We are not responsible for delays or results caused by incorrect service selections, missing identifying information, or undisclosed film conditions.
13. Film Handling and Inherent Risk
BG Film Lab uses reasonable care when handling customer film. However, film processing inherently involves physical handling, machinery, liquids, chemistry, cutting, drying, scanning, and transportation.
Film may be scratched, torn, fogged, contaminated, jammed, lost, damaged, or destroyed despite reasonable care.
By submitting film, the customer acknowledges that:
- Film may already be compromised before arrival;
- Film may contain no recoverable images;
- The camera may have malfunctioned;
- Exposure or loading may have failed;
- Film age and storage may affect results;
- Processing cannot correct every exposure or camera problem; and
- No laboratory can eliminate every risk associated with handling physical film.
BG Film Lab is not responsible for underexposure, overexposure, camera malfunction, loading errors, film-advance errors, light leaks, expired film, airport or security scanning, pre-existing damage, improper storage, contamination, or other causes outside our control.
14. Photographic Results
BG Film Lab does not guarantee:
- That submitted film will contain visible images;
- A particular exposure, color, contrast, density, grain, sharpness, composition, or artistic result;
- That every frame will be scannable;
- That digital scans will match another laboratory, scanner, monitor, print, or customer edit;
- That damaged or expired film can be restored; or
- That customer expectations can be met when the original negative does not contain adequate information.
Analog photography naturally includes variation. Grain, dust, minor color shifts, frame-edge irregularities, development marks, and other film characteristics do not automatically indicate negligence or a processing error.
15. Blank Roll Guarantee
If an eligible processed roll is completely blank, meaning no visible photographic images are produced anywhere on the roll, BG Film Lab will issue store credit equal to the processing price charged for that roll.
This guarantee applies only when the entire roll contains no visible photographic image. A roll containing any visible image, partial image, frame, or recoverable photographic exposure does not qualify as completely blank.
The guarantee applies regardless of whether the blank roll resulted from camera malfunction, loading error, exposure problems, or another cause, subject to verification by BG Film Lab.
Unless we expressly agree otherwise, the guarantee covers only the processing charge. It does not cover:
- The purchase price of the film;
- The cost of a camera;
- Shipping;
- Travel;
- Events;
- Reshoots;
- Lost opportunities; or
- Other incidental or consequential expenses.
16. Damaged or Lost Customer Film
If BG Film Lab determines that customer film was lost or physically damaged while in our possession as a direct result of an error by BG Film Lab, the available remedy will be governed by our Refund, Return, and Service Policy.
To the fullest extent permitted by law, our responsibility will be limited to:
- A refund or store credit equal to the processing charge paid for the affected roll; and
- When appropriate and at our discretion, replacement with a reasonably comparable unexposed roll of film.
Because undeveloped film may contain unique and irreplaceable images whose value cannot be reliably determined, BG Film Lab does not accept liability for the sentimental, artistic, historical, professional, commercial, or replacement value of images recorded or alleged to have been recorded on submitted film.
17. Digital Scan Delivery and Storage
Digital scans are delivered through an email link, online gallery, download service, or another delivery method selected by BG Film Lab.
Customers are responsible for:
- Providing a working email address;
- Checking spam or filtered folders;
- Downloading files before the stated expiration date;
- Verifying that the download is complete; and
- Creating and maintaining secure backups.
Unless a different period is stated, customers should download their files within 30 days after delivery.
BG Film Lab may retain files temporarily as a courtesy, but we do not provide permanent archival storage and do not guarantee that scans can be recovered after the download period expires.
An expired or temporarily inaccessible download link does not by itself entitle the customer to a refund when BG Film Lab can reasonably restore or redeliver access.
18. Negative Return and Disposal
Customers may be given the option at checkout to have their negatives returned for an additional shipping or handling charge.
When negative return is selected:
- Negatives will be sent to the shipping address provided with the order unless another address is accepted by BG Film Lab;
- The customer is responsible for confirming the address;
- Negatives may be cut or sleeved according to the selected service or our normal workflow; and
- Return delivery is subject to carrier handling and transit risks.
When a customer declines negative return, authorizes disposal, or selects a service that does not include return, the negatives may be discarded after scan delivery and any stated retention period.
Discarded negatives cannot be recovered.
19. Merchandise Fulfillment and Shipping Time
We will make reasonable efforts to ship merchandise within any timeframe clearly stated on our website or at checkout.
Shipping estimates begin after payment is accepted and do not include carrier transit time unless expressly stated.
If no shipment timeframe is stated, BG Film Lab will comply with the shipment timeframe required by applicable law.
If we cannot ship within the promised or legally applicable timeframe, we may request the customer’s consent to a delay or provide a cancellation and refund option as required by law.
An order is not considered shipped merely because a shipping label has been created. Shipment generally occurs when the package is transferred to or accepted by the carrier.
20. Shipping Charges and Promotions
Shipping charges are calculated or displayed at checkout based on factors that may include:
- Order value;
- Product type;
- Weight;
- Package dimensions;
- Shipping destination;
- Carrier service;
- Delivery speed;
- Promotional eligibility; and
- Maximum discount limits.
Free or discounted shipping offers may be restricted by:
- Minimum qualifying purchase;
- Eligible merchandise;
- Geographic area;
- Shipping method;
- Maximum shipping discount;
- Promotional period; or
- Other terms stated with the offer.
Unless expressly stated otherwise, a free-shipping promotion does not require BG Film Lab to pay for expedited, premium, oversized, international, or otherwise ineligible shipping services.
We may correct a shipping charge resulting from a website or carrier-calculation error before shipment. We will obtain the customer’s approval before charging an additional material amount or will offer cancellation of the affected order.
21. Delivery Addresses and Address Changes
Customers are responsible for entering a complete and accurate delivery address.
Address-change requests must be submitted promptly. We do not guarantee that an address can be changed after fulfillment begins or a shipping label is purchased.
For fraud-prevention purposes, we may refuse to redirect an order to an address that differs materially from the address supplied at checkout. We may instead cancel and refund the unshipped order and require the customer to place a new order.
The customer may be responsible for reasonable costs associated with:
- Incorrect addresses;
- Undeliverable packages;
- Refused deliveries;
- Unclaimed packages;
- Carrier address corrections; or
- Reshipping returned merchandise.
This section does not apply when the delivery failure resulted from our error.
22. Carrier Delays, Loss, Damage, and Delivery Claims
Once merchandise or returned negatives are transferred to a carrier, delivery may be affected by weather, transportation interruptions, theft, incorrect scans, carrier handling, or other circumstances outside our direct control.
Customers should notify us promptly if a shipment:
- Shows no tracking movement;
- Arrives damaged;
- Contains missing items;
- Is marked delivered but cannot be located; or
- Is returned to sender.
We may require the customer to:
- Verify the shipping address;
- Check with household members, neighbors, building management, or the carrier;
- Provide photographs of the product, package, and shipping label;
- Retain damaged merchandise and packaging;
- Complete an affidavit or carrier form; or
- Cooperate with a carrier or insurance investigation.
A carrier’s delivered scan does not automatically guarantee approval of a refund or replacement claim. Claims will be evaluated under our Refund, Return, and Service Policy, available carrier evidence, insurance coverage, payment-provider rules, and applicable law.
23. Risk of Loss for Merchandise
Risk-of-loss questions for merchandise will be determined under applicable law, the selected shipping method, carrier records, and the facts of the individual order.
Nothing in these Terms transfers to the customer a risk that applicable law requires BG Film Lab to retain.
Customers remain responsible for loss or damage resulting from an incorrect address, unauthorized redirection, refusal of delivery, or other action attributable to the customer.
24. Cancellations
Customers may request cancellation before fulfillment or processing begins.
Cancellation requests are not guaranteed because orders may enter fulfillment or processing shortly after being placed.
Film processing cannot be canceled after processing begins.
Merchandise cannot be canceled after it has shipped.
If BG Film Lab cancels an unshipped merchandise order or an unstarted service order, the affected amount will be refunded to the original payment method, except where another remedy is agreed to or legally permitted.
25. Returns, Refunds, and Product Claims
All cancellations, returns, refunds, exchanges, blank-roll claims, processing claims, defective-product claims, damaged-shipment claims, and lost-package claims are governed by our Refund, Return, and Service Policy.
That policy is incorporated into these Terms by reference.
Film, cameras, accessories, and other merchandise may be designated final sale. However, a final-sale designation does not eliminate any remedy required by applicable law when:
- BG Film Lab ships the wrong item;
- An item arrives materially damaged;
- An item is materially defective;
- An item is materially different from its description; or
- Another nonwaivable legal right applies.
Customers must inspect orders promptly and submit claims within the period stated in our Refund, Return, and Service Policy.
26. Manufacturer Warranties
Some products may be covered by a manufacturer’s warranty.
Unless BG Film Lab expressly provides a separate written warranty, any manufacturer warranty is offered by the manufacturer and is governed by the manufacturer’s terms.
BG Film Lab may provide reasonable proof-of-purchase information or direct the customer to the manufacturer, but we do not control the manufacturer’s warranty process or decision.
Nothing in this section eliminates any direct obligation BG Film Lab has under applicable law or our Refund, Return, and Service Policy.
27. Disclaimer of Warranties
To the fullest extent permitted by law, and except for any express written guarantee provided by BG Film Lab, our website, services, scans, and products are provided on an “as available” and “as is” basis.
BG Film Lab disclaims implied warranties to the extent they may lawfully be disclaimed, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement.
We do not warrant that:
- The website will be continuously available or error-free;
- Every product will remain in stock;
- A particular product will meet every customer’s subjective expectations;
- Film will produce any specific photographic result;
- Used, vintage, expired, or untested products will perform like new products; or
- Third-party services, carriers, payment processors, or download providers will operate without interruption.
Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law.
28. Promotions, Coupons, and Discount Codes
Promotions, coupon codes, shipping discounts, processing credits, and other offers are subject to the terms displayed with the offer.
Unless expressly permitted:
- Discounts cannot be combined;
- Discounts have no cash value;
- Discounts cannot be applied retroactively;
- Discounts cannot be used to purchase gift cards;
- Discounts cannot be transferred, sold, or reproduced;
- Discounts apply only to eligible products or services;
- Minimum-purchase thresholds are calculated according to the promotion’s stated terms; and
- Shipping, taxes, and excluded products may not count toward a minimum purchase.
We may cancel or refuse a discount obtained through fraud, unauthorized sharing, manipulation, technical error, duplicate-account creation, or other misuse.
When a coupon is included with a film purchase for discounted future processing, the coupon remains subject to its stated:
- Eligible service;
- Discount value;
- Redemption instructions;
- Expiration date;
- Usage limit;
- Combination restrictions; and
- Shipping terms.
Possession of a coupon does not guarantee that every service, film format, or processing option will be available indefinitely.
29. Store Credit and Gift Cards
Unless different terms are expressly stated or applicable law requires otherwise, store credit issued by BG Film Lab:
- May be used only with BG Film Lab;
- Is non-transferable;
- Is not redeemable for cash;
- Cannot be resold;
- May not be replaced if transferred or used without authorization; and
- Expires one year after issuance when expiration is legally permitted.
Promotional store credit is distinct from a refund owed to the original payment method.
Gift cards are governed by the terms displayed at purchase and applicable law. Nothing in these Terms imposes an expiration date where expiration is prohibited.
30. Chargebacks and Payment Disputes
Customers should contact BG Film Lab before initiating a chargeback or payment dispute so we have a reasonable opportunity to investigate and resolve the issue.
This request does not waive or restrict any legal right to dispute a charge.
We may contest a chargeback and provide relevant documentation, including:
- Order records;
- Customer communications;
- Tracking;
- Delivery confirmation;
- Download records;
- Processing records;
- Product photographs; and
- The policies accepted at checkout.
Submitting a knowingly false or fraudulent payment dispute may result in cancellation of pending orders, refusal of future service, and any other lawful action.
31. Prohibited Conduct
Customers may not use our website, products, or services to:
- Violate any law or regulation;
- Commit fraud;
- Infringe intellectual-property, privacy, publicity, or other rights;
- Transmit malicious code;
- Interfere with website security or operation;
- Scrape or extract website content through unauthorized automated means;
- Circumvent purchase limits;
- Misuse discounts, refunds, credits, or claims processes;
- Impersonate another person;
- Harass, threaten, or abuse employees, contractors, customers, or service providers; or
- Submit material that the customer is not legally entitled to possess or submit.
We may suspend access, cancel orders, refuse service, or take other reasonable action in response to prohibited conduct.
32. Submitted Film and Unlawful Content
Customers may not knowingly submit film containing content whose possession, processing, reproduction, or distribution is illegal.
BG Film Lab personnel do not ordinarily review customer images for the purpose of monitoring content. However, images may be encountered during normal processing, scanning, quality control, troubleshooting, or customer service.
When BG Film Lab reasonably believes that applicable law requires preservation, disclosure, or reporting of particular material, we may take action required or permitted by law, including contacting appropriate authorities.
We may refuse to process or deliver material when doing so would violate applicable law.
33. Customer Ownership and Permission to Process
Customers retain whatever ownership rights they lawfully possess in their photographs and negatives.
By submitting film, the customer represents that they are authorized to possess the film and to instruct BG Film Lab to process, scan, reproduce, store temporarily, and deliver its contents.
The customer grants BG Film Lab a limited, nonexclusive permission to perform only those acts reasonably necessary to provide the ordered service, including:
- Developing film;
- Creating digital scans;
- Performing quality control;
- Temporarily storing files;
- Transmitting files through service providers;
- Producing prints or other ordered products; and
- Troubleshooting or correcting an order.
This operational permission ends when it is no longer reasonably needed to provide the service, subject to ordinary backups, legal obligations, dispute records, and the storage terms stated in these Terms.
34. Marketing Use of Customer Images
BG Film Lab will not use identifiable customer images in public marketing solely because the customer used our services.
We may use customer images for advertising, social media, portfolio, educational, or promotional purposes only when the customer has provided separate permission or when another lawful basis clearly applies.
Any permission may be subject to the scope and conditions agreed to with the customer.
A customer may request that future marketing use stop by contacting us. We will make reasonable efforts to discontinue future use, although we may not be able to retrieve materials already printed, distributed, reposted by others, or incorporated into completed campaigns.
35. BG Film Lab Intellectual Property
The BG Film Lab name, logos, website design, graphics, written content, product photography, promotional materials, and other original content are owned by or licensed to BG Film Lab and are protected by applicable intellectual-property laws.
Customers may not copy, reproduce, distribute, modify, sell, or commercially exploit our protected content without written permission, except as allowed by law.
Nothing in these Terms transfers ownership of BG Film Lab intellectual property to the customer.
36. Third-Party Services
Our website and operations may rely on third parties, including:
- Shopify;
- Payment processors;
- Shipping carriers;
- Shipping-label providers;
- Email providers;
- Cloud-storage or file-delivery services;
- Analytics providers; and
- Social-media platforms.
BG Film Lab does not control every aspect of these third-party services and is not responsible for outages, errors, policy changes, data loss, delivery failures, or other conduct solely attributable to a third party.
Use of a third-party service may also be governed by that provider’s terms and privacy policy.
This section does not excuse BG Film Lab from responsibilities that applicable law places directly on us.
37. Website Availability and Security
We take reasonable measures to maintain our website and protect customer information, but no online service is completely secure or continuously available.
We do not guarantee uninterrupted access, perfect security, compatibility with every device, or freedom from every bug or harmful component.
Customers are responsible for maintaining the security of their own devices, email accounts, passwords, and payment credentials.
38. Limitation of Liability
To the fullest extent permitted by law, BG Film Lab’s total liability arising from or relating to a specific order, product, or service will not exceed the amount the customer paid BG Film Lab for the specific affected product or service.
To the fullest extent permitted by law, BG Film Lab will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including:
- Loss of photographs or negatives;
- Loss of memories or sentimental value;
- Lost profits or revenue;
- Lost business opportunities;
- Professional or reputational loss;
- Event or travel expenses;
- Replacement photography or reshoots;
- Loss of use;
- Data loss; or
- Emotional distress arising from lost or damaged photographic material.
These exclusions apply regardless of the legal theory asserted and even if BG Film Lab was advised that such damages were possible.
These limitations do not apply to liability that cannot legally be waived, excluded, or limited.
39. Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold BG Film Lab LLC and its owners, employees, contractors, and agents harmless from third-party claims, liabilities, damages, and reasonable expenses arising from:
- Your unlawful use of our website, products, or services;
- Your violation of these Terms;
- Your submission of material you did not have authority to submit;
- Your infringement of another person’s intellectual-property, privacy, publicity, or other rights;
- Fraudulent conduct; or
- Your intentional misconduct.
This section does not require a consumer to indemnify BG Film Lab for BG Film Lab’s own negligence or conduct when such indemnification would be unlawful.
40. Events Outside Our Reasonable Control
BG Film Lab will not be responsible for delay or failure caused by circumstances reasonably outside our control, including:
- Severe weather;
- Natural disasters;
- Fire or flood;
- Utility failure;
- Internet or telecommunications interruption;
- Equipment breakdown;
- Carrier disruption;
- Labor dispute;
- Government action;
- Public-health emergency;
- Supplier shortage;
- Cyberattack;
- Civil unrest; or
- Other comparable events.
This section does not eliminate obligations to provide delay notices, cancellation rights, or refunds when required by applicable law.
41. Policy Misuse and Refusal of Service
We may deny a claim, cancel an order, or refuse future service when available evidence reasonably indicates:
- Fraud;
- Material misrepresentation;
- Alteration or destruction of evidence;
- Repeated abusive claims;
- Unauthorized payment activity;
- Threatening or abusive conduct; or
- Failure to cooperate with a reasonable investigation.
Any decision remains subject to applicable law and will not be based on a legally protected characteristic.
42. Electronic Communications
By placing an order, you consent to receive transactional communications electronically, including:
- Order confirmations;
- Payment notices;
- Questions about submitted film;
- Shipping updates;
- Scan-delivery messages;
- Delay notices;
- Claim communications; and
- Policy notices relating to the order.
Transactional consent does not automatically enroll the customer in promotional marketing.
Marketing emails or text messages, when offered, will be governed by the customer’s separate consent and applicable law.
43. Governing Law
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles, except where federal law or another nonwaivable law applies.
44. Venue
To the extent permitted by law, any legal proceeding arising from these Terms or an order with BG Film Lab must be brought in a court of competent jurisdiction serving Warren County, Kentucky.
This section does not prevent a customer from bringing a claim in another venue when applicable law grants a nonwaivable right to do so.
45. Severability
If any provision of these Terms is found unenforceable, invalid, or unlawful, that provision will be enforced to the greatest extent legally permitted or severed when necessary.
The remaining provisions will continue in effect.
46. No Waiver
Failure by BG Film Lab to enforce a provision of these Terms does not waive our right to enforce that provision or another provision later.
A waiver is effective only when made clearly and in writing by an authorized representative of BG Film Lab.
47. Assignment
Customers may not assign or transfer their rights or obligations under these Terms without our written consent.
BG Film Lab may assign these Terms in connection with a merger, sale, reorganization, transfer of assets, or other legitimate business transaction, subject to applicable law.
48. Entire Agreement
These Terms, our Refund, Return, and Service Policy, our Privacy Policy, the applicable product or service listing, and the terms displayed at checkout form the agreement between the customer and BG Film Lab concerning an order.
If the documents conflict, the more specific term governing the particular product, service, promotion, or transaction will generally control, unless applicable law requires otherwise.
49. Changes to These Terms
We may update these Terms periodically.
The version in effect when an order is placed will generally govern that order. Changes will not retroactively reduce rights or materially alter obligations for an already accepted order unless required by law or agreed to by the customer.
The updated date shown at the top identifies the most recent revision.
Continued use of the website after revised Terms take effect constitutes acceptance of the revised Terms for future use and future orders.
